CZUR Scanner User License Agreement

Important Notice:

Please carefully read this End User License Agreement (the "Agreement") before installing, copying, running, or using the CZUR Scanner client software. Once you click "I Accept", or install, copy, run, or otherwise use the Software, you indicate that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to any term of this Agreement, please do not install or use the Software.

This Agreement is entered into by and between you and Shenzhen CZUR Tech Co., Ltd. (hereinafter referred to as "CZUR" or "we") regarding your use of the CZUR Scanner client software.

I. Scope of the Software

1. The Software is Windows client software for CZUR-related scanner devices, including but not limited to CZUR ET series, Aura series, M series, and other supported devices. It provides functions such as scanning, preview, image processing, document output, OCR text recognition, barcode recognition, PDF export, searchable PDF, Word, Excel, TXT and other format output, software or firmware update prompts, and problem feedback.

2. The Software includes software programs, dynamic libraries, drivers or auxiliary components, interface resources, language packs, model files, configuration files, sample files, update files, documentation, and subsequent upgrades, patches, and replacement versions provided with the installation package.

3. The Software may include components, libraries, or technologies provided by third parties, including but not limited to OCR engines, image processing libraries, runtime components, language resources, open-source components, or commercially licensed components. Third-party components are governed by their respective license agreements or authorization terms.

II. License Grant

1. Subject to your compliance with this Agreement, CZUR grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on computers that you own or legally control.

2. This Agreement only grants you the right to use the Software, and does not transfer ownership, intellectual property rights, or any other rights or interests in the Software or any component thereof.

3. Unless otherwise expressly authorized in writing by CZUR, you may not use the Software to provide commercial hosting, leasing, outsourced processing, cloud services, batch automation services, or similar third-party services.

III. Use Restrictions

You may not engage in any of the following acts:

1. Copy, modify, translate, adapt, merge, split, lease, lend, transfer, sell, sublicense, distribute, or publicly disseminate all or any part of the Software, except where mandatorily permitted by law or expressly authorized in writing by CZUR.

2. Reverse engineer, decompile, disassemble, crack, bypass authorization, remove technical protection measures, modify license files, or otherwise attempt to obtain the source code, algorithms, models, protocols, or internal implementation of the Software.

3. Delete, hide, or modify any copyright, trademark, license, third-party notice, or other rights notice in the Software.

4. Use the Software to process, generate, or disseminate content that infringes another person's copyright, privacy right, portrait right, trade secret, or other lawful rights and interests.

5. Use the Software for illegal, fraudulent, regulatory evasion, system attack, device damage, rights-infringing, or other improper purposes.

6. Bypass restrictions in the Software on device model, licensed region, OCR language pack, functional module, number of uses, or other authorized scope.

IV. Scanned Content and Output Files

1. You are solely responsible for pictures, documents, text, barcodes, and other content that you scan, import, process, recognize, export, or upload using the Software.

2. You shall ensure that you have lawful rights to the documents being scanned or processed, or that you have obtained necessary authorization from the rights holder.

3. Functions provided by the Software, such as image enhancement, curved-surface flattening, edge cropping, finger removal, automatic page splitting, OCR, barcode recognition, searchable PDF, Word, Excel, and TXT output, may be affected by the quality of the original image, device status, lighting, paper, language, font, layout, and the capability of third-party OCR engines. CZUR does not guarantee that recognition results will be completely accurate, complete, or suitable for any particular purpose.

4. You shall independently proofread and confirm recognized text, tables, layouts, barcode results, and exported documents generated by the Software. You shall bear losses caused by failure to verify output results.

V. Third-Party Components and Licenses

1. The Software may integrate or include third-party components, including but not limited to ABBYY FineReader Engine, OpenCV, Microsoft ATL or other runtime libraries, language resources, model files, and similar components.

2. Copyrights, trademarks, patents, and other rights in third-party components belong to their respective rights holders.

3. When using functions that include third-party components, you shall also comply with the relevant third-party licenses, authorized scope, and use restrictions. If third-party terms differ from this Agreement, the parts involving third-party components shall be governed by the scope permitted under the applicable third-party terms.

4. You may not separately extract, copy, redistribute, reverse analyze, or bypass any third-party component, license file, language pack, model file, or license control mechanism, unless expressly permitted by the relevant third-party license.

VI. Software Updates and Firmware Updates

1. The Software may provide software updates, firmware update prompts, version checking, patch downloads, or related auxiliary functions.

2. Updates may be used to fix issues, improve compatibility, add or adjust functions, update third-party components, improve security, or adapt to new device models.

3. You understand and agree that some updates may change the Software interface, functional behavior, file format compatibility, device support scope, or system requirements.

4. Before performing a firmware update, you shall ensure that the device connection is stable, the power supply is sufficient, and you shall operate according to the Software prompts. For device abnormalities caused by interrupted updates, abnormal power loss, unofficial firmware, or improper operation, CZUR shall not be liable to the extent permitted by law.

VII. Problem Feedback, Logs, and Privacy

1. The Software may provide problem feedback, error reporting, log collection, user contact information submission, or similar support functions.

2. When you actively submit problem feedback, the Software may, according to interface prompts, collect information related to issue diagnosis, such as Software version, system information, device parameters, log files, configuration data, contact information, and pictures or files that you actively choose to submit.

3. If pictures, documents, or logs contain personal information, sensitive information, or third-party materials, you shall independently confirm and obtain necessary authorization before submitting them.

4. CZUR will process your personal information in accordance with the applicable Privacy Policy, User Information Usage Agreement, and relevant laws and regulations. The Privacy Policy or User Information Usage Agreement, together with this Agreement, forms part of the rules for using the Software.

VIII. Intellectual Property Rights

1. The Software and related code, structure, interface, icons, pictures, models, documents, trademarks, names, algorithms, technical solutions, and other content are protected by copyright law, trademark law, patent law, and other intellectual property laws.

2. Without the written permission of CZUR or the relevant rights holder, you may not use CZUR's name, trademarks, logo, product identifiers, or other brand elements for publicity, sales, endorsement, or confusing use.

3. Rights in the original documents you process through the Software and the output files lawfully generated by you do not transfer to CZUR as a result of your use of the Software. However, you shall ensure that the source and manner of use of such content are lawful.

IX. Disclaimer

1. To the maximum extent permitted by applicable law, the Software is provided on an "as is" and "as available" basis. CZUR does not warrant that the Software will be error-free, uninterrupted, completely secure, fully compatible with all system environments, or able to meet all of your specific needs.

2. CZUR does not warrant that OCR recognition, image processing, document export, barcode recognition, automatic cropping, curved-surface flattening, page splitting, finger removal, and other functions will be accurate, complete, or stable in all scenarios.

3. For issues caused by system environment, third-party software, drivers, antivirus software, hardware failure, USB connection, device status, network status, user operation, unofficial modification, or force majeure, CZUR shall not be liable to the extent permitted by law.

4. You shall independently back up important pictures, documents, configurations, and output files. You shall bear the corresponding risks of data loss caused by failure to back up, accidental deletion, overwriting, format conversion errors, or other reasons.

X. Limitation of Liability

1. To the maximum extent permitted by applicable law, CZUR and its affiliates, suppliers, and licensors shall not be liable for any indirect, incidental, special, punitive, or consequential damages, loss of profits, business interruption, data loss, file damage, device downtime, third-party claims, or other consequential losses, whether such losses are based on contract, tort, strict liability, or any other legal theory.

2. If applicable law does not allow liability to be completely excluded, CZUR's cumulative liability shall be limited to the amount you actually paid to obtain the Software license. If the Software is provided free of charge, liability shall be limited to the minimum extent permitted by applicable law.

XI. Termination

1. If you violate this Agreement, CZUR has the right to terminate the Software license granted to you.

2. After termination of the license, you shall stop using the Software and delete or uninstall the Software and all copies thereof.

3. The provisions of this Agreement regarding intellectual property rights, use restrictions, third-party components, disclaimer, limitation of liability, applicable law, and dispute resolution shall survive termination of this Agreement.

XII. Export Control and Compliance

1. You shall comply with applicable export control, sanctions, data protection, intellectual property, cybersecurity, and other laws and regulations, and shall not use the Software for restricted, sanctioned, illegal, or unauthorized purposes.

XIII. Applicable Law and Dispute Resolution

1. The formation, validity, interpretation, performance, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China, excluding its conflict of laws rules. This provision does not exclude mandatory consumer protection, data protection, or other statutory rights under the laws of the user's location that cannot be excluded by agreement.

2. Any dispute arising from this Agreement or the use of the Software shall first be resolved through friendly negotiation between the parties. If negotiation fails, either party may submit the dispute to a court with jurisdiction or to an arbitration institution.

XIV. Miscellaneous

1. This Agreement constitutes the entire agreement between you and CZUR regarding the use of the Software, and supersedes any prior oral or written agreement related to the Software.

2. If any provision of this Agreement is held to be invalid or unenforceable, the validity of the remaining provisions shall not be affected.

3. CZUR may update this Agreement according to product, legal, regulatory, or business needs. The updated Agreement may be published through the installation package, Software interface, official website, or other reasonable means.

4. The headings in this Agreement are for reading convenience only and do not affect the interpretation of the provisions.
